Team Portrait Agreement

Client and Andrea Evensen (“Swell Shots”) (collectively, the “Parties”) hereby enter into this Agreement. Swell Shots will take a headshot photograph (“Headshot”) for a cost of $15 per person (“Person”) and group shots for the cost of $20 per group (“Group Shots”). Client shall pay Swell Shots the total amount equal to (total number of Persons Headshots x 15) + (total number of Group Shots x 20) (sum of which, “Total Amount”) at the time of the Event, but in no event shall the Total Amount be less than $200. Swell Shots will post a digital Headshot photo of each Person and Group Shots to a web-enabled gallery (“Gallery”) with a simple black background and Client’s trademark if Client so desires. Client is permitted to share the Gallery URL and any login credentials with its Persons. Swell Shots is not liable for any unauthorized access to the Gallery. Digital photos in the Gallery are available to download at no additional cost, and Client and its Persons are permitted to use photos on social media, print, etc., provided Swell Shots is tagged/credited as author. Gallery will remain online for at least 45 days, and thereafter any and all Event photos may be removed or destroyed at Swell Shots’ discretion. Client is responsible for obtaining any required credentials for Swell Shots to photograph from a desired location. Client grants permission and affirms that it has obtained appropriate consent from all Persons (or their legal guardians, if minors) to hereby grant permission to Swell Shots to take and use photos, videos, content, name, and likeness of Client and its Persons for the following purposes, including the right to grant sublicenses to any and all of said rights, without any compensation, royalties, or review: website viewing, printing, and downloading; publication in print and digital formats; social media (incl. tagging), Internet, and other electronic platform use; and any and all commercial and promotional use, and further hereby acknowledges and agrees that all pictures, videos, and content produced by Swell Shots and its sublicensees, including all copyrights and other intellectual property, are the sole and exclusive property of Swell Shots. Client hereby grants Swell Shots a perpetual, non-exclusive, royalty-free license to display Client’s trademark on Swell Shots’ website and promotional materials for the purpose of indicating that it has used Swell Shots’ services. In the event that any Person or his/her guardian disputes such consent or any of Swell Shots’ equipment or person is damaged or injured as a direct result of the Event, Client agrees to indemnify, hold harmless, and make whole Swell Shots from any and all claims, liabilities, damages, and expenses arising therefrom. The Parties agree that an unforeseen issue may occur that is outside the Parties’ control, including but not limited due to equipment failure, inclement weather, an unexpected conflict (e.g. Swell Shots illness), etc. (“Unforeseen Issue”). The Parties agree that should an Unforeseen Issue occur, they will work together to reschedule or substitute the photography session at a mutually agreeable time/date at no additional charge to either Party. Notwithstanding the aforementioned, if a Client participant is unable to attend the session for any reason, and the Client still desires Swell Shots to take their picture at another time, an additional travel fee will be added onto the headshot cost depending on distance, and in no event less than $25. Client understands that this electronic Agreement and signature are legally binding and carry the same force and effect as a handwritten signature. Client's consent and agreement are evinced by Client's Authorized Representative’s typewritten signature, below. Swell Shots will return a countersigned electronic version of this Agreement via email. *
